Terms of Service

These Terms of Service (“Terms”) apply when you access or use the Syle website, web app, or Chrome extension (together, the “Service”). In these Terms, “Syle,” “we,” and “us” refer to the owner and operator of the Service.

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Who may use Syle

You must be legally able to enter into a binding agreement and meet the age and eligibility requirements of every marketplace you use. If you use Syle on behalf of a business or another person, you confirm that you have authority to accept these Terms on their behalf.

Your account

You are responsible for the accuracy of your account information, the security of your sign-in details, and all activity performed through your account. Contact us promptly if you believe someone has accessed your account or a connected marketplace account without permission.

Your listings and marketplace accounts

You retain ownership of the listing text, photos, and other content you provide to Syle. You give us a non-exclusive, worldwide, royalty-free licence to host, copy, process, and transmit that content only as needed to operate, secure, and support the Service and carry out the actions you request.

You may use Syle only with listings, content, and marketplace accounts that you own or are authorized to manage. You are responsible for the accuracy and legality of your listings, your transactions with buyers, and any related taxes, shipping, or returns. You are also responsible for following each marketplace’s rules. When you ask Syle to publish, update, or remove a listing, you authorize Syle to use your connected account or signed-in browser session to perform that action.

Always check the result of an action on the marketplace itself, especially before editing, relisting, or shipping an item. Keep your own copies of any content or records you need.

Third-party marketplaces

Syle works with services operated by third parties, including eBay, Facebook Marketplace, Karrot, Poshmark, and Kijiji. Syle is independent of those marketplaces and is not endorsed by or responsible for them. Their terms and policies apply to your use of their services.

Marketplaces may change their websites, APIs, rules, or access at any time. We cannot guarantee that an integration will always work, that a marketplace will accept or keep a listing, or that using Syle will prevent duplicate listings, account restrictions, or other actions by a marketplace.

Acceptable use

You must not use the Service to:

• break the law, infringe another person’s rights, or list stolen, counterfeit, prohibited, or misleading items;
• access or manage accounts, listings, or content without permission;
• upload malicious code, interfere with the Service, evade security or usage controls, or place an unreasonable load on our systems;
• copy, scrape, resell, sublicense, reverse engineer, or create derivative works from the Service, unless applicable law gives you the right to do so; or
• use the Service in a way that could harm Syle, a marketplace, or another person.

Syle’s property

The Service, including its software, source code, design, text, graphics, the Syle name, logos, and other original materials, belongs to Syle or its licensors and is protected by intellectual property laws. These Terms give you a limited, revocable, non-transferable right to use the Service for its intended purpose. No other rights are granted. Marketplace names and logos belong to their respective owners.

Free and paid features

Syle offers a free level of access to the Service. We may also offer optional paid features or plans. The features and usage limits included in free and paid offerings may change over time. Before you purchase a paid offering, we will clearly disclose its price, billing, renewal, and cancellation terms, and any applicable refund policy. We will not charge you unless you choose a paid offering and authorize payment. Fees charged by marketplaces or other third parties are separate and remain your responsibility.

Changes, suspension, and termination

We may change, limit, suspend, or discontinue all or part of the Service, including in response to security, legal, technical, or marketplace changes. We may suspend or close your account if you violate these Terms, create risk, cause harm, or use the Service in a way we reasonably believe is abusive or unlawful.

You may stop using Syle or delete your account at any time. Account deletion is handled as described in our Privacy Policy. Sections that by their nature should continue after termination, including intellectual property, disclaimers, liability limits, and responsibility for claims, will continue to apply.

No warranties

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We do not promise that it will be uninterrupted, secure, error-free, or continue to work after every marketplace change. Syle does not guarantee sales, listing visibility, marketplace availability, or any particular business result. Nothing in these Terms excludes or limits any warranty or right that cannot legally be excluded or limited.

Limitation of liability

To the fullest extent permitted by law, Syle will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, listings, sales, or business opportunities arising from the Service or a third-party marketplace. Syle’s total liability for all claims relating to the Service will not exceed the greater of the amount you paid Syle in the 12 months before the claim or CAD $100.

Your responsibility for claims

To the extent permitted by law, you agree to defend Syle against third-party claims and compensate Syle for losses and reasonable costs arising from your listings or other content, your transactions, your misuse of the Service, or your violation of these Terms, the law, or another person’s rights.

Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. You and Syle submit to the jurisdiction of the courts of British Columbia for disputes relating to these Terms or the Service, unless applicable consumer law requires otherwise.

Changes to these Terms

We may update these Terms as Syle changes. We will post the revised Terms here and update the date at the top. If a change is material, we will also provide reasonable notice in the Service or by email. Continuing to use the Service after the revised Terms take effect means you accept them.

General

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect. If we do not enforce a provision, that does not waive our right to do so later. These Terms and any additional terms presented for a specific feature form the entire agreement between you and Syle about the Service.
